RESOURCE TERMS OF USE AGREEMENT

This Resource Terms of Use Agreement (“Agreement”) is a legal agreement between Canada Masonry Design Centre (“CMDC”) and you, the individual or entity accessing and using the Resource (“Resource”) known as “Simplified Partition Wall Calculator” (“SPWC”) on the CMDC website: http://www.canadamasonrydesigncentre.com.

By selecting “I agree”, you are indicating your understanding and acceptance of the terms and conditions of this agreement. If you do not understand or agree to these terms, do not use this Resource.

1.0. LICENSE GRANT AND RESTRICTIONS

1.1. License. CMDC grants you a limited, non-exclusive, revocable, non-transferable license to access and use the Resource free of charge for your internal or personal use, subject to the terms and conditions of this Agreement.

1.2. Restrictions on Use. Your use of the Resource is subject to the following restrictions: (a) You may not copy, modify, distribute, or reverse engineer the Resource; (b) You shall not sublicense or permit any unauthorized access to the Resource; (c) You shall not adapt, translate, change, customize, or otherwise modify the Resource; (d) You shall not remove or alter any proprietary notices in the Resource; and (e) You agree not to use the Resource for any illegal or unauthorized purpose.

1.3. Technical Support. CMDC may, at its discretion, provide technical support for the Resource through the CMDC website. However, CMDC is not obligated to fix reported errors or ensure compatibility with other software or hardware.

2.0. USER RESPONSIBILITIES

2.1. Data and Privacy. By using the Resource, you may choose to input data (“User Data”). CMDC does not collect or store User Data and is not responsible for its security. You are solely responsible for the confidentiality and security of your User Data.

2.2, Compliance. You agree to comply with all applicable laws and regulations in your use of the Resource, including but not limited to data protection laws. You indemnify CMDC from any claims arising from your use of the Resource, including any breach of applicable laws.

3.0. INTELLECTUAL PROPERTY

3.1. Ownership. All right, title, and interest in and to the Resource, including any intellectual property rights, are owned by CMDC. Except for the license granted under this Agreement, you acquire no rights in or to the Resource.

3.2. Feedback. You may provide feedback or suggestions regarding the Resource. CMDC may use such feedback without any obligation to you.

4.0. RISK MANAGEMENT

4.1. No Warranties. The Resource is provided “as is” and without any warranty or condition, express or implied. CMDC disclaims all warranties of merchantability, fitness for a particular purpose, or non-infringement.

4.2.Limitation of Liability. CMDC shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the resource.

5.0. TERMINATION

5.1. Termination. This Agreement is effective until terminated. You may terminate this Agreement by discontinuing the use of the Resource. CMDC may terminate this Agreement at any time without notice if you fail to comply with its terms.

5.2. Effect of Termination. Upon termination, your right to use the Resource ceases, and you must delete or destroy all copies of the Resource in your possession.

6.0. GENERAL PROVISIONS

6.1. Entire Agreement. This Agreement constitutes the entire agreement between you and CMDC and supersedes all prior agreements. No additional terms in any other document shall bind CMDC.

6.2. Effect of Termination. This Agreement shall be governed by and construed in accordance with the laws of CANADA, without regard to its conflict of law principles.

6.3. Language. The parties agree that this Agreement be drafted in English.

6.4. Independent Contractor. The parties are independent contractors, and nothing in this Agreement shall be construed as creating an agency, partnership, or joint venture.

6.5. Survival. Sections 1.2, 2.1, 3, 4, and 5 shall survive the termination of this Agreement.
